Terms of Service

Draft - this document is being reviewed and may change before PaalChat opens to the public.

These terms are an agreement between [PaalTech registered company name] ("PaalTech", "we") and the business that creates a PaalChat account ("you"). They apply from [date]. By creating an account or using PaalChat you agree to them on behalf of your business.

1. What PaalChat is

PaalChat lets your business connect its WhatsApp Business number through Meta, answer customers in a shared inbox, send approved template messages, use SMS and email, connect your own systems through our API, and switch on an AI assistant that answers your customers. PaalTech connects to WhatsApp as a Meta Tech Provider.

2. Your account

  • You must give accurate details and keep them up to date, including a phone number we can verify.
  • You are responsible for everything done under your account and by the people you invite to your team. Keep passwords and API keys secret; turn on two-step sign-in for owners and admins.
  • You must be authorised to act for the business you sign up, and the business must be lawfully registered or trading.

3. WhatsApp and Meta

  • Your WhatsApp Business account belongs to you and is subject to Meta's terms, including the WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy and the WhatsApp Commerce Policy. You must follow them.
  • Meta bills WhatsApp messages to your business directly. PaalChat shows estimates; Meta's charges never appear on a PaalChat invoice, and we do not mark them up.
  • Meta can restrict, rate-limit or disable your number or account. We cannot overrule Meta's decisions.

4. Your use of PaalChat

You must follow our Acceptable Use Policy. In short: only message people who agreed to hear from you, honour opt-outs at once, and do not send spam, scams or unlawful content.

5. The AI assistant

  • The assistant answers your customers from what you teach it. You are responsible for that material and for checking the assistant's behaviour (use the test chat, and start in Suggest mode).
  • AI can be wrong. Do not rely on it for decisions with legal, financial, medical or safety consequences; it hands conversations to your team when it should.
  • The assistant serves your business's customers only. It may not be used as a general-purpose chatbot, which WhatsApp does not allow.
  • To answer, customer messages and your knowledge are sent to our AI provider (OpenAI) as described in our Privacy Policy.

6. Your data

You own the data you and your customers put into PaalChat. We process it for you under our Data Processing Terms, which form part of these terms. You can export or delete it as described in Deleting your data.

7. Fees

PaalChat's own fees are those of the plan you choose, shown before you pay. Plans renew monthly until cancelled. Unpaid invoices may lead to your account being limited after notice. Prices may change with at least 30 days' notice.

8. Availability and changes

We work to keep PaalChat available and publish incidents on our status page, but we do not promise uninterrupted service. We may change or improve features; we will give notice of changes that significantly reduce what you can do.

9. Suspension and ending

  • You can stop using PaalChat and close your account at any time.
  • We may suspend or close an account that breaks these terms or the Acceptable Use Policy, puts other users or our standing with Meta at risk, or is required to be suspended by law - with notice where we reasonably can.
  • After closing, we delete your data as described in Deleting your data.

10. Liability

To the extent the law allows: PaalChat is provided "as is"; we are not liable for indirect or consequential loss, or for loss caused by Meta, mobile networks or other third parties; and our total liability in any 12 months is limited to the fees you paid us in that period. Nothing here limits liability that cannot be limited by law.

11. General

These terms are governed by the laws of the Republic of Ghana, and the courts of Ghana have jurisdiction. If we update these terms we will post the new version here and notify account owners of material changes. Questions: support@paaltech.org.
